Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Sprint Guage and the https://funavry-jira-landing.vercel.app website (together, the “Service”), provided by Sprint Guage (“we”, “us”). By creating an account or using the Service you agree to these Terms. If you are agreeing on behalf of an organisation, you represent that you have authority to bind it.

1. Accounts

You must provide accurate registration information and keep it current. You are responsible for all activity under your account and for keeping your credentials confidential. Notify us immediately at support@sprintguage.com if you suspect unauthorised access. You must be at least 16 years old to use the Service.

2. Acceptable use

You agree not to:

• Use the Service in violation of any applicable law or regulation;
• Upload or transmit malware, or content that infringes intellectual property or privacy rights;
• Attempt to gain unauthorised access to the Service, other accounts, or our infrastructure;
• Probe, scan or test the vulnerability of the Service without our prior written consent;
• Resell, sublicense or provide the Service to third parties outside your organisation without a written agreement;
• Place unreasonable load on the Service, including through automated requests that exceed documented rate limits.

We may suspend accounts that violate this section, with notice where circumstances allow.

3. Subscriptions and billing

• Plans — the Free plan is provided at no charge. Paid plans are billed per user, monthly or annually in advance, at the prices listed on our pricing page.
• Trials — paid plans include a 14-day trial. If you do not upgrade, your organisation moves to the Free plan; we do not delete your data at the end of a trial.
• Seat changes — adding users mid-cycle is charged pro rata. Removing users credits the next invoice.
• Renewal — subscriptions renew automatically for the same term unless cancelled before the renewal date.
• Refunds — fees are non-refundable except where required by law, or where we materially fail to meet a written SLA.
• Price changes — we will give at least 30 days' notice before a price change takes effect for your organisation.
• Taxes — prices exclude VAT, GST and sales tax, which are added where applicable.

4. Your data

You retain all ownership of the content you submit to the Service (“Your Data”). You grant us a limited licence to host, process, transmit and display Your Data solely to provide and support the Service. We do not use Your Data to train machine learning models.

You may export Your Data at any time, on any plan, in CSV, JSON, PDF and release-notes formats. Our handling of personal data is described in our Privacy Policy.

5. Our intellectual property

The Service, including its software, design, trademarks and documentation, is owned by Sprint Guage and protected by intellectual property law. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

6. Feedback

If you send us suggestions or feedback, we may use them without restriction or obligation to you. We will not identify you as the source without your permission.

7. Availability and support

We aim to keep the service available at all times, but we do not currently offer a contractual uptime SLA on any plan. Planned maintenance is announced in advance where practical. Support response targets vary by plan and are described on our pricing page.

8. Third-party services

The Service can integrate with third-party products such as GitHub. Your use of those products is governed by their own terms, and we are not responsible for their availability, security or content.

9. Disclaimer of warranties

Except as expressly stated in these Terms, the Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total aggregate liability arising out of or relating to these Terms will not exceed the amounts you paid us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited by law.

11. Indemnification

You agree to indemnify and hold us harmless from claims arising out of Your Data or your use of the Service in breach of these Terms, except to the extent caused by our own breach or negligence.

12. Termination

You may cancel at any time from your organisation settings; cancellation takes effect at the end of the current billing period. We may suspend or terminate access for material breach of these Terms, or for non-payment after 14 days' notice. On termination, you have 30 days to export Your Data before it is deleted from production systems.

13. Changes to these Terms

We may revise these Terms. Material changes will be announced at least 30 days in advance by email or in-product notice. Continued use after the effective date constitutes acceptance. If you do not agree, you may cancel before the changes take effect.

14. General

These Terms, together with the Privacy Policy and any order form, are the entire agreement between the parties. If a provision is held unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger or sale of assets.
